Before you start

Get what you need before you start

  • Confirm the company body and people authorised to own this decision.
  • This Practice provides an internal evidence workflow. It does not provide legal, financial, tax, investment, or valuation advice.
  • Obtain named pre-upload approval for the workspace, plan, account settings, retention settings, and each approved document category.
  • Treat privileged, personal, customer, employee, security, and third-party information as prohibited. Keep it out of this workspace and use a separately approved system.
  • Verify plan-dependent data controls and retention before use. Test access with a non-owner account before sharing.
  • Keep unsupported facts, missing documents, conflicts, and disagreement visible.
  • Treat Tool output as an internal draft that a person checks against every cited source.
  • Independent counsel and the qualified advisers for each applicable jurisdiction must review every external communication and transaction decision before use.

Steps

Work through the method

Use the listed inputs and tools. Check the evidence when you need to verify a step.

  1. Open the conversation register

Assign one accountable owner. Record each investor, counsel-approved stage, last interaction, material shared, open question, due date, and next decision.

Why it matters: One current register reduces inconsistent answers and hidden commitments.

    Input
Authorised investor conversations, approved stages, materials, and process owner.
    Output
A dated conversation register with owners, stages, questions, and next decisions.

  2. Maintain approved answers

Link recurring questions to one reviewed answer and its source. Keep private notes separate from communications that recipients may forward.

Why it matters: Offering statements remain reviewable when each answer has one approved source and version.

    Input
The register, approved materials, source records, and communication policy.
    Output
An approved answer record and a list of questions held for review.

  3. Authorise the next conversation action

The accountable owner records the next action and sends only separately approved material. Counsel reviews new or changed offering statements before use.

Why it matters: The record should control the next step without letting the Tool communicate or commit.

    Input
The current register, reviewed answer, and company authority rules.
    Output
A current conversation status and authorised next action.

Success checks

Check the result before you finish

  • Every conversation has an accountable owner, approved stage, last action, open question, due date, and next decision.
  • Recurring questions resolve to one reviewed answer and dated source.
  • Private notes remain separate and every external response uses an approved version.

Failure modes

Watch for these problems

  • Separate conversations produce conflicting answers, undocumented commitments, or different versions of the same material. Hold the next response and reconcile the record.
  • Private notes or restricted information enter an answer that a recipient may forward. Remove the material and route the disclosure question to the responsible owner.
  • Someone sends a new or changed offering statement before the required company and counsel review. Stop the response and escalate it for approval.
