Build a counsel-approved investor list

Create a bounded internal list from approved criteria and stop rules before anyone sends outreach.

Before you start

Get what you need before you start

  • Confirm the company body and people authorised to own this decision.
  • This Practice provides an internal evidence workflow. It does not provide legal, financial, tax, investment, or valuation advice.
  • Obtain named pre-upload approval for the workspace, plan, account settings, retention settings, and each approved document category.
  • Treat privileged, personal, customer, employee, security, and third-party information as prohibited. Keep it out of this workspace and use a separately approved system.
  • Verify plan-dependent data controls and retention before use. Test access with a non-owner account before sharing.
  • Keep unsupported facts, missing documents, conflicts, and disagreement visible.
  • Treat Tool output as an internal draft that a person checks against every cited source.
  • Independent counsel and the qualified advisers for each applicable jurisdiction must review every external communication and transaction decision before use.

Steps

Work through the method

Use the listed inputs and tools. Check the evidence when you need to verify a step.

  1. Set the investor criteria

Copy the approved financing constraints into a criteria sheet. Require stage, sector, geography, cheque range, stated thesis, conflicts, introduction route, and evidence source for every candidate.

Why it matters: Explicit fields make inclusion and exclusion reasons reviewable before contact.

    Input
The authorised offering route, company constraints, jurisdictions, and sourced investor information.
    Output
A candidate table with every required field, exclusions, conflicts, and unknowns.

  2. Approve the contact basis and message

Counsel reviews each recipient class, introduction route, message, distribution method, evidence-backed claim, and jurisdiction before outreach.

Why it matters: US and UK rules can regulate the offering route and communications differently.

    Input
The candidate table, proposed contact basis, draft message, supplied claims, and jurisdiction list.
    Output
A counsel-approved recipient boundary, message version, contact method, and recordkeeping rule.

  3. Authorise the outreach queue

The founder approves each reviewed candidate. Record consent where required, response, next action, and a stop reason. Send only the separately approved message.

Why it matters: A bounded queue prevents research from becoming uncontrolled solicitation.

    Input
The reviewed list, approved message, consent rule, and stop rules.
    Output
An authorised outreach queue with consent status, owner, next action, and stop reason.

Success checks

Check the result before you finish

  • Every candidate records stage, sector, geography, cheque range, thesis, introduction route, conflicts, and evidence.
  • Counsel approved the recipient boundary, message, distribution method, and jurisdictions.
  • Every queue entry records consent where required, an owner, next action, and stop reason.

Failure modes

Watch for these problems

  • A candidate lacks sourced fit evidence, a counsel-approved contact basis, or a recorded stop reason. Keep that candidate out of the outreach queue.
  • Stated investor preferences become proof of eligibility, mandate, values, or long-term fit. Restore them as unverified claims and assign a human reviewer.
  • Someone drafts or sends outreach outside the approved audience, message, route, or jurisdiction. Stop the communication and escalate it to independent counsel.
